1. Acceptance of these terms
This website at panshul.co.in (the “Website”) is operated by Panshul Technologies LLP (“Panshul Technologies”, “we”, “us” or “our”), a limited liability partnership registered in India with its office at 101/2, Abhilasha 2, Punjabi Lane, Borivali (West), Mumbai – 400092, Maharashtra, India.
By accessing, browsing or using the Website, or by submitting any enquiry through it, you agree to be bound by these Terms & Conditions and by our Privacy Policy. If you do not agree, please do not use the Website.
If you are using the Website on behalf of a company or other organisation, you confirm that you are authorised to accept these terms on its behalf.
2. What we do
We supply engineering and manufacturing software licences, along with implementation, training, consultancy and support services. We act as an authorised reseller and partner for the software vendors whose products are described on the Website.
We are an independent reseller. We are not the manufacturer or publisher of the software products described on this Website, and we are not an agent of those vendors. Product capabilities, release schedules, licensing models and support policies are determined by the respective vendors and may change without notice to us.
3. Use of the Website
You may use the Website for lawful business purposes only. You agree not to:
- Use the Website in any way that breaches applicable law or regulation, or that is fraudulent or has a fraudulent purpose
- Submit false, misleading or third-party contact details through our forms
- Attempt to gain unauthorised access to any part of the Website, our systems, or any account or restricted area
- Introduce viruses, malware, or any other material that is malicious or technologically harmful
- Attack the Website via denial-of-service, automated scraping, or excessive automated requests
- Circumvent or interfere with the automated verification described in section 8
- Copy, reproduce, republish or redistribute Website content except as permitted in section 4
We may suspend or withdraw access to the Website, or to any part of it, without notice, and we may report any breach of these terms to the relevant authorities.
4. Intellectual property
Unless otherwise stated, the content of the Website — including text, layout, graphics, photographs, illustrations and their selection and arrangement — is owned by or licensed to Panshul Technologies and is protected by Indian and international intellectual property laws.
You may view, download and print pages from the Website for your own internal business use in evaluating our products and services. You must not modify our content, use it for commercial purposes without our written permission, or remove any copyright or proprietary notice.
All third-party product names, brand names, logos and trademarks appearing on the Website are the property of their respective owners and are used for identification and descriptive purposes only. Their appearance does not imply any endorsement of, or affiliation with, us beyond the reseller relationship described in section 2.
5. Enquiries, quotations and orders
Information on the Website, including any indicative pricing, product descriptions, packages or offers, is provided for general information and does not constitute an offer capable of acceptance.
Submitting an enquiry or quotation request through the Website does not create a contract between us. A binding contract arises only when we issue a written quotation or proforma invoice and you accept it in writing, or when we expressly confirm your order.
Quotations are valid only for the period stated on them and are subject to vendor pricing, availability and prevailing taxes and duties at the time of order. We reserve the right to correct errors in pricing or product descriptions at any time.
6. Software licences and third-party terms
Any software supplied by us is licensed, not sold, and is subject to the end-user licence agreement, subscription terms and support policy of the relevant vendor. Those terms govern your rights to install, use, transfer and receive support for the software.
You are responsible for reading and complying with the applicable vendor terms. We have no authority to vary them. Our responsibility is limited to supplying the licence and providing the services we have expressly agreed with you in writing.
System requirements, compatibility and performance depend on your own hardware, network and configuration. Any guidance we give on these matters is provided in good faith and does not amount to a warranty of suitability.
7. Submissions and career applications
Where you submit material to us — including enquiry messages, requirements, CVs, cover letters and answers to screening questions — you confirm that the material is accurate, that you are entitled to provide it, and that it does not infringe the rights of any third party or contain confidential information belonging to another organisation.
You grant us the right to use, store and process that material for the purpose it was submitted for, as described in our Privacy Policy.
Please do not send us confidential drawings, models or proprietary technical data through the Website. If a discussion requires such material, contact us and we will agree an appropriate method and, where necessary, a confidentiality agreement.
8. Automated verification
Forms on the Website are protected by an automated verification service (Cloudflare Turnstile) that distinguishes genuine visitors from automated bots. By submitting a form, you consent to this verification taking place and to the limited technical processing it involves, as described in the Privacy Policy and in the Cloudflare Turnstile Privacy Addendum referenced there.
Attempting to bypass, automate or interfere with this verification is a breach of these terms. If verification is blocked in your browser, Website forms may not submit; you may contact us by telephone or email instead.
9. Third-party links
The Website contains links to third-party websites, including vendor sites, documentation, social media and video platforms. Those links are provided for convenience only. We do not control those websites, do not endorse their content, and accept no responsibility for them or for any loss arising from your use of them.
10. Availability and accuracy
We aim to keep the Website available and its content accurate and up to date, but we do not guarantee that the Website will be uninterrupted, error-free, or free of viruses, or that the information on it is complete or current.
We may change, suspend or withdraw all or any part of the Website without notice. Content on the Website is provided for general information and does not constitute professional, technical, engineering or legal advice. You should not act on it without obtaining specific advice for your situation.
11. Disclaimers
To the fullest extent permitted by applicable law, the Website and its content are provided on an “as is” and “as available” basis, without warranties or conditions of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement.
Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.
12. Limitation of liability
To the fullest extent permitted by applicable law, we will not be liable for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, business, anticipated savings, goodwill, data, or production downtime, arising out of or in connection with your use of the Website or reliance on its content, whether in contract, tort (including negligence) or otherwise.
Our total aggregate liability arising out of or in connection with your use of the Website shall not exceed INR 10,000 (Rupees Ten Thousand).
Liability in respect of products and services actually supplied by us is governed separately by the written contract, quotation or purchase order under which they were supplied, and not by this section.
13. Indemnity
You agree to indemnify and hold harmless Panshul Technologies LLP, its partners, employees and authorised representatives against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from your breach of these terms, your misuse of the Website, or your submission of material that infringes the rights of a third party.
14. Privacy
Our handling of personal data is described in our Privacy Policy, which forms part of these terms. It explains what we collect, why, how long we keep it, and the rights available to you under the Digital Personal Data Protection Act, 2023.
15. Changes to these terms
We may revise these terms at any time. The revised version takes effect when published on this page, and the “Last updated” date above will change. Your continued use of the Website after publication constitutes acceptance of the revised terms. Please check this page periodically.
16. Governing law and jurisdiction
These terms, and any dispute or claim arising out of or in connection with them or with your use of the Website (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of India.
The courts at Mumbai, Maharashtra, India shall have exclusive jurisdiction over any such dispute or claim.
17. Severability and waiver
If any provision of these terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force. Our failure to enforce any provision shall not be construed as a waiver of it.
